Defined Terms

For clarity throughout these Terms, the following definitions apply:

  • “Site” means KleanGutter.com and all pages, subdomains, and content hosted therein.
  • “Content” means all text, graphics, photographs, video, audio, software, data, product descriptions, educational materials, and other material published on or through the Site.
  • “Dealer” means any independently owned and operated business that has entered into an authorized dealer agreement with MGP Manufacturing LLC to sell and install Klean Gutter® products.
  • “Services” means the Site and all features, tools, and communications made available through it, including dealer referral requests, contact forms, and newsletter subscriptions.
  • “Submissions” means any feedback, reviews, comments, ideas, or other materials you voluntarily provide to us through the Site or by email.

About These Terms

This Site is owned and operated by MGP Manufacturing LLC (“MGP,” “Klean Gutter®,” “we,” “us,” or “our”), a manufacturer of gutter protection systems headquartered in Paterson, New Jersey. These Terms of Use (the “Terms”) govern your access to and use of the Site and Services. Please read them carefully before using the Site.

By accessing or using this Site, you agree to be bound by these Terms, our Privacy Policy, and our Disclaimer, all of which together constitute the complete legal agreement governing your use of this Site. Your access to or use of the Site constitutes your electronic acceptance of these Terms, which has the same legal force and effect as a written, signed agreement. If you do not agree to these Terms, you must not use the Site.

This Site is intended for users located in the United States. If you are accessing the Site from outside the United States, you do so at your own initiative and are solely responsible for compliance with applicable local laws.

We reserve the right to revise these Terms at any time. When we do, we will update the “Last Updated” date above. Your continued use of the Site after any revision constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically. For material changes that significantly affect your rights or how we process your information, we will provide at least 30 days advance notice by posting a prominent notice on the Site or by email where we have your contact information on file. Changes will be effective immediately for new users and 30 days after notice for existing users.

1. Dealer Independence and Installation Responsibility

Klean Gutter® gutter protection products are manufactured by MGP Manufacturing LLC and sold exclusively through independently owned and operated authorized Dealers. Each Dealer is a separate legal entity. MGP Manufacturing LLC does not control the day-to-day operations, pricing, installation practices, warranties offered, or customer service policies of any Dealer.

MGP Manufacturing LLC is not a party to any contract, agreement, or transaction between you and any Dealer. Any dispute arising from a purchase, installation, or service performed by a Dealer is solely between you and that Dealer. MGP Manufacturing LLC expressly disclaims any liability for the acts, omissions, representations, or warranties of any Dealer.

Installation practices are controlled entirely by the Dealer. MGP Manufacturing LLC does not supervise, direct, or oversee any installation performed by a Dealer. Compliance with applicable building codes, local ordinances, manufacturer installation guidelines, and safety regulations is the sole responsibility of the Dealer performing the installation. MGP Manufacturing LLC makes no representation that any installation performed by any Dealer complies with applicable codes or standards.

References on this Site to “authorized dealers,” “certified installers,” or similar language indicate only that a Dealer has entered into an authorized dealer agreement with MGP Manufacturing LLC; such references do not constitute an endorsement of any Dealer’s business practices, financial condition, workmanship quality, or code compliance.

No Agency or Authority. Authorized Dealers are independent businesses and are not employees, agents, partners, franchisees, or representatives of MGP Manufacturing LLC. Dealers have no authority to make representations, warranties, guarantees, or commitments on behalf of MGP Manufacturing LLC and may not bind MGP Manufacturing LLC to any agreement or obligation. Any statements, promises, estimates, warranties, or representations made by a Dealer — including any made in connection with a sales presentation, estimate, or installation — are made solely by that Dealer and are not attributable to MGP Manufacturing LLC.

2. Permitted Use of the Site

This Site is provided for informational, educational, and communication purposes. You may access and use the Site solely for lawful purposes and in accordance with these Terms. You agree that you will not:

  • Use the Site in any way that violates applicable federal, state, local, or international law or regulation;
  • Transmit any unsolicited or unauthorized advertising, promotional material, spam, or any other form of commercial solicitation;
  • Impersonate MGP Manufacturing LLC, a Klean Gutter® employee, an authorized Dealer, or any other person or entity;
  • Attempt to gain unauthorized access to any portion of the Site, its servers, or any system or network connected to the Site;
  • Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material to the Site;
  • Scrape, harvest, or otherwise collect data from the Site through automated means without our prior written consent;
  • Use the Site to transmit content that is defamatory, obscene, harassing, threatening, hateful, or otherwise objectionable; or
  • Interfere with or disrupt the integrity or performance of the Site or the data contained therein.

We reserve the right to terminate or restrict your access to the Site at any time, without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

3. Intellectual Property

3.1 Ownership

All Content on this Site is the property of MGP Manufacturing LLC or its content licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

3.2 Trademarks

The Klean Gutter® name, logo, product names, and all related marks, designs, and trade dress are registered or unregistered trademarks of MGP Manufacturing LLC (collectively, the “Marks”). Nothing on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Mark without our prior written permission. Unauthorized use of any Mark is strictly prohibited and may constitute trademark infringement, unfair competition, or other violations of law.

No person or entity — including any Dealer — may use the Marks, product names, product images, or other intellectual property of MGP Manufacturing LLC in any manner that falsely suggests affiliation with, sponsorship by, or endorsement by MGP Manufacturing LLC, or in any way that could cause consumer confusion as to the source or origin of any product or service. Authorized Dealers who wish to use the Marks in their own marketing materials must do so in accordance with the brand guidelines provided under their dealer agreement.

3.3 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and to download or print a single copy of any Content solely for your personal, non-commercial use. You may not modify, reproduce, distribute, publicly display, create derivative works from, or otherwise exploit any Content without our prior written consent.

4. User Submissions and Content

4.1 Feedback and Communications

If you submit Submissions to us, you grant MGP Manufacturing LLC a worldwide, irrevocable, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Submissions in any medium and for any purpose, without compensation or obligation to you. You represent that you own or have the right to grant this license and that your Submission does not infringe any third-party rights.

4.2 Accuracy of Information

You agree that any information you provide to us through the Site is accurate, current, and complete. You agree not to misrepresent your identity or your affiliation with any person or entity.

4.3 No Monitoring Obligation

We are not obligated to monitor Submissions or other user-generated content posted to the Site, but we reserve the right to review, remove, or refuse to post any content at our sole discretion.

5. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, MGP Manufacturing LLC expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

MGP Manufacturing LLC does not warrant that: (a) the Site will be available, uninterrupted, or error-free; (b) defects will be corrected; (c) the Site or the servers that make it available are free of viruses or other harmful components; or (d) the Content is accurate, complete, reliable, current, or suitable for any particular purpose.

No Statement on This Site Creates a Product Warranty. No statement, photograph, video, product description, performance claim, or other Content on this Site — including any reference to debris shedding, clog prevention, water flow, ice dam resistance, or any other product characteristic — constitutes a product warranty of any kind, express or implied. The only warranty applicable to Klean Gutter® products is the written product warranty provided separately at the time of purchase through an authorized Dealer. Any product warranty rights you may have arise solely from that written document and not from any Content on this Site.

Information on this Site regarding products, services, pricing, dealer availability, and installation is provided for general informational purposes only and is subject to change without notice. Nothing on this Site constitutes a binding offer, warranty, or guarantee with respect to any product or service.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by law.

6. User Reliance and Assumption of Risk

The Content on this Site is provided for general informational and educational purposes only. You should not rely solely on Content from this Site when making any home improvement, purchasing, or installation decision. Home improvement decisions involve individual variables — including your home’s specific construction, roof condition, local climate, drainage requirements, and applicable building codes — that cannot be assessed through a website. If this Site contains installation diagrams, technical specifications, educational articles, or instructional videos, that Content is provided for informational purposes only. Any person who attempts to install, modify, or interact with a gutter system or related components does so entirely at their own risk. MGP Manufacturing LLC expressly disclaims all liability for any injury, property damage, or other harm arising from any attempt to install or modify any product based on Content found on this Site.

7. Advertising Claims

Promotional statements, product claims, and marketing copy appearing on this Site are general in nature and are intended to describe the design and engineering characteristics of Klean Gutter® products under typical conditions. They do not constitute guarantees of specific outcomes for any individual installation. Actual results will vary based on installation quality, site conditions, and environmental factors. Please refer to Section 5 above regarding the scope of product warranties.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MGP MANUFACTURING LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This includes, without limitation, damages for loss of profits, loss of data, loss of goodwill, business interruption, computer damage or system failure, or the cost of substitute products or services, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

MGP Manufacturing LLC shall not be liable for any damages arising from transactions, agreements, installations, representations, or services performed by any authorized Dealer. Any claim arising from a Dealer transaction must be brought against the Dealer directly and not against MGP Manufacturing LLC.

In no event shall MGP Manufacturing LLC’s total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow limitations on liability for certain types of damages. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless MGP Manufacturing LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site or its Content; (c) your Submissions; (d) your violation of any applicable law or regulation; or (e) your infringement of any intellectual property or other rights of any third party.

This Site may contain links to third-party websites, including Dealer websites, social media platforms, and industry resources. These links are provided for your convenience only. MGP Manufacturing LLC does not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party website. Your use of third-party websites is at your own risk and subject to the terms and privacy policies of those websites.

11. Digital Millennium Copyright Act (DMCA) — Notice and Takedown

If you believe that any Content on this Site infringes your copyright, please submit a written notice to our designated DMCA agent containing the following information:

  2. Identification of the copyrighted work claimed to have been infringed;

13. Governing Law, Jurisdiction, and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States of America, without regard to its conflict-of-law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Passaic County, New Jersey, and you hereby consent to the personal jurisdiction of those courts.

Informal Resolution. Before initiating any formal legal proceeding, you agree to contact us at legal@kleangutter.com and provide a written description of the dispute. We will attempt in good faith to resolve the dispute informally within thirty (30) days of receiving your notice.

Waiver of Class Action. To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Telephone and Text Communication Consent. If you submit a contact or dealer referral form on this Site and provide a telephone number, you acknowledge and agree that an authorized Dealer or MGP Manufacturing LLC may contact you at that number by telephone or text message, including using automated dialing technology, to follow up on your request. Consent to receive such communications is not a condition of any purchase. Message and data rates may apply. Text STOP to opt out of marketing messages at any time. Text HELP for support. Neither MGP Manufacturing LLC nor wireless carriers are liable for delayed or undelivered messages. Note: Opting out of marketing messages does not opt you out of transactional or service-related communications directly related to a request you have submitted, such as dealer referral confirmations or responses to your inquiry. 15. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and MGP Manufacturing LLC with respect to your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Survival. The following sections survive termination or expiration of these Terms for any reason: Section 3 (Intellectual Property), Section 5 (Disclaimer of Warranties), Section 6 (User Reliance and Assumption of Risk), Section 8 (Limitation of Liability), Section 9 (Indemnification), Section 13 (Governing Law), and Section 15 (General Provisions).

Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any provision in one instance does not constitute a waiver in any future instance.

No Partnership. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and MGP Manufacturing LLC. Neither party has the authority to bind the other or to incur any obligation on the other’s behalf.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure. MGP Manufacturing LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, or governmental action.
